Terms of Service
The agreement for using SheetRisk and its reports.
Version: 28 Oct 2026 · Eastbridge Partners LLC d/b/a SheetRisk
1. Who we are and these Terms
These Terms of Service (“Terms”) are an agreement between you and Eastbridge Partners LLC, a Florida limited liability company doing business as SheetRisk (“SheetRisk”, “we”, “us”). They cover the sheetrisk.com website, the SheetRisk software, and every report it produces (together, the “Service”).
2. How you accept these Terms
You accept these Terms by ticking the box that says you agree. The box is never ticked for you. You tick it when you create your account and upload a set, and again each time you buy. We keep a record of each acceptance: your account, the version you accepted, the time and your IP address. If you don’t agree, don’t use the Service.
If you accept for a company, you confirm that you can bind it, and “you” means that company.
3. Business use only
The Service is designed for architects, engineers, contractors, construction managers, lenders and similar business users who have the training to evaluate its output. You confirm that you use it for business purposes, not personal, family or household purposes.
4. What SheetRisk is, and is not
SheetRisk is a software tool that uses AI to help licensed professionals review construction documents.
SheetRisk, its staff and its software do not practice engineering, architecture, surveying or law. Nothing on this site or in a report is a professional opinion, certification, or design. Reports are not signed or sealed by a licensed professional and do not replace review by one. SheetRisk does not certify code compliance, constructability, cost, schedule, or safety.
5. AI-generated output and human review
How SheetRisk uses AI. SheetRisk uses AI services from outside providers to read drawings and generate findings. AI systems can make mistakes, including stating incorrect things confidently. Results may vary between runs. AI output can be wrong, incomplete, or inconsistent, and the same files may produce different results on different runs. Findings may be missed (false negatives) or flagged in error (false positives). Small, rotated or low-quality text can be misread. Any “risk level”, “money-pit indicator”, or “likely change order” is a software indicator for review, not a cost estimate, a prediction, or a professional opinion. SheetRisk does not guarantee that any conflict, cost risk, or change-order risk will be found, or that any flagged item is a real problem.
Human review required. You agree not to rely on any output without checking it yourself, and to have a qualified licensed professional review any output used for design, bidding, pricing, lending, construction, or safety decisions. SheetRisk is not intended to make automated decisions about any person, including credit decisions.
Your data and AI. Files are sent to our providers only to generate your report and are handled under our Privacy Policy.
6. Your account
Give us accurate details and keep them current. Free runs use a company email address. Keep the codes and sign-in links we email you to yourself; anyone with them can use your account. Your company’s first set gets one free run. You are responsible for what is done through your account.
7. Your files
By uploading, you confirm that: (1) you own the files or have permission to upload them for this purpose, including under any NDA, contract, or AIA/owner license; (2) they do not contain classified information, export-controlled technical data (ITAR/EAR), Controlled Unclassified Information, Sensitive Security Information, or building plans that are confidential or exempt under Fla. Stat. 119.071(3) or similar laws unless you are allowed to share them with service providers; and (3) you give SheetRisk a limited license to process the files only to provide the service. You keep all rights in your files.
Don’t upload anything you aren’t allowed to share with us and our service providers.
8. Who may rely on a report
- Reports are prepared solely for the account holder who ordered them (“you”), for your internal business use. They are not prepared for, and may not be relied on by, any other person, including any lender, owner, investor, surety, insurer, buyer, or design professional (“Third Party”).
- You may share a report with a Third Party only if (i) you share the complete report, including all notices, and (ii) you tell them in writing that they may not rely on it and that SheetRisk owes them no duty. You are responsible for any Third Party you share a report with. A report opened by its share link tells whoever opens it the same.
- SheetRisk owes no duty of care to any Third Party. No Third Party is a beneficiary of these Terms.
- You will defend, indemnify and hold harmless SheetRisk from any claim by a Third Party arising from a report you shared, except to the extent caused by SheetRisk’s fraud or willful misconduct.
- Reliance letters. A Third Party may rely on a report only under a separate written reliance letter signed by SheetRisk, naming that Third Party, the report ID, and its own limitation of liability and fee.
9. Prices, payment and taxes
Your top potential change order is free on your company’s first set. Every paid report shows its price before you pay; pricing is dynamic, based on your sheet count and drawing complexity. Prices are in US dollars. Each purchase is a one-time charge: there are no subscriptions and nothing renews.
Payments are processed by our payment processor on its own secure page. We never see or store your full card number.
10. Refunds
If the report fails to generate, or is clearly corrupted, we will rerun it or refund you. Because reports are delivered digitally right away, other refunds are at our discretion.
See the Refund Policy.
11. Software license
SheetRisk software is licensed, not sold. We give you a limited, non-exclusive, non-transferable license to use the Service and your reports for your internal business purposes under these Terms. You may not copy, resell, rent or sublicense the software; reverse engineer, decompile or try to extract its source code or models; scrape the site; or use the Service to build a competing product.
Features marked beta, preview or coming soon may change or stop. The Service is not for safety-critical decisions and must never be the only check before a decision about design, construction or safety.
12. Acceptable use
- Don’t upload unlawful material, malware, or files you aren’t allowed to share.
- Don’t try to break or test the Service’s security, overload it, or reach it by automated means beyond normal use.
- Don’t use the Service to harm anyone or to break any law.
- Don’t use the Service from, or for anyone in, a country or region under US sanctions or where our AI providers don’t offer service. For now, SheetRisk is available to businesses in the United States and Canada.
13. Confidentiality
We treat your files and reports as confidential and use them only to provide the Service, as the Privacy Policy describes. A report may contain confidential information from your drawings: handle it as you would the drawings themselves.
14. Ownership
SheetRisk owns the software, the site and the design of its reports. You keep all rights in your files. Once a report is paid for (or free), you may use it for your internal business purposes and share it as section 8 allows.
15. Disclaimer of warranties
DISCLAIMER OF WARRANTIES. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE, SOFTWARE AND ALL REPORTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”. SHEETRISK DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. SHEETRISK DOES NOT WARRANT THAT ANY REPORT WILL BE COMPLETE, ERROR-FREE, OR IDENTIFY EVERY CONFLICT OR RISK.
16. Limitation of liability
LIMITATION OF LIABILITY. TO THE FULLEST EXTENT PERMITTED BY LAW:
(a) SHEETRISK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR REVENUE, CONSTRUCTION DELAY, REWORK, CHANGE-ORDER OR CLAIM COSTS, FINANCING COSTS, OR LOSS OF DATA, EVEN IF ADVISED OF THEIR POSSIBILITY.
(b) SHEETRISK’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO A REPORT, OR TO THE SERVICE USED TO PRODUCE IT, IS LIMITED TO THE AMOUNT YOU PAID FOR THAT REPORT. FOR A REPORT YOU DID NOT PAY FOR, IT IS ZERO.
(c) THESE LIMITS APPLY TO EVERY THEORY OF LIABILITY, INCLUDING CONTRACT, WARRANTY, TORT (INCLUDING SHEETRISK’S OWN NEGLIGENCE), STRICT LIABILITY AND STATUTE, AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
(d) Exclusions. These limits do not apply to liability that cannot be limited by law, such as liability for fraud.
(e) The fee reflects this allocation of risk. You agree that SheetRisk’s prices are based on these limits and that, without them, the Service would cost substantially more.
17. Indemnity
You will defend, indemnify and hold harmless SheetRisk and its members, officers and staff from any claim, loss or cost (including reasonable attorneys’ fees) arising from your files (including a breach of section 7), from any Third Party you share a report with (section 8), or from your breach of these Terms.
18. Disputes: binding arbitration and class-action waiver
Please read this section carefully. It affects your rights.
(a) Arbitration. Any dispute, claim or controversy arising out of or relating to the Service, a report or these Terms will be resolved by binding arbitration before a single private arbitrator, not in court and not before a jury. The arbitration will be held in Florida, or by video if both parties agree.
(b) Class-action waiver. You and SheetRisk may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims or preside over any class or representative proceeding.
(c) Exceptions. Either party may ask a court for an injunction to protect its intellectual property or confidential information.
(d) Law. The Federal Arbitration Act governs this section.
19. Governing law and venue
Florida law governs these Terms, without regard to its conflict-of-law rules, and the Federal Arbitration Act governs section 18. Any court proceeding these Terms allow (to compel arbitration, to confirm an award, or under section 18(c)) will be in the state or federal courts located in Florida, and both parties consent to their jurisdiction.
20. Ending your use of the Service
You can stop using the Service at any time and ask us to delete your account. We may suspend or end your access if you breach these Terms, if the law requires it, or if we stop offering the Service. Sections 7, 8 and 13 to 22 continue after your use ends.
21. Changes to these Terms
We may update these Terms. The version and date are shown at the top of this page. When a change affects you, we’ll ask you to accept the new version before your next upload or purchase. The version you accepted applies to each purchase made under it, and every version you accepted stays available.
22. General
These Terms, with the Privacy Policy, are the whole agreement between you and SheetRisk about the Service. If any part is found unenforceable, the rest stays in effect. Not enforcing a part is not a waiver of it. You may not transfer these Terms without our written consent; we may transfer them with our business. We send notices by email to your account’s address. Neither party is responsible for delays caused by events beyond its reasonable control.
